What Is A Quorum?

The two pictures on the left are snapshots of a document that shows that our TAJ (at that time Islandia) governing documents* were amended to change what it means to have a quorum of our total membership. In most situations the word "quorum" means 50% + 1. Our By-Laws appear to have changed the meaning of "quorum" when applied to our total membership. If I understand this correctly, then a quorum of our membership would not be 171 (that is 50% of our 340 units + 1), but rather it would be 114 (one third of 340 = 113.33...).

It seems that this change was made in 1981. Is this really true, and we have just not known this until now? Or has this change been overturned, changed again, or in some other way determined to not apply?


By the way, these documents were provided to me by a concerned unit owner. I am not certain where to obtain copies of them, either online or hard-copies. None-the-less they appear to be genuine. I have shown only snapshots out of consideration of space. I will be happy to email the full four page document to anyone interested.




*governing documents include the By-Laws, the Declaration, and the Articles of Incorporation. Those are a group of documents that are specific to our TAJ community. We are also bound by Florida State laws, statutes, and regulations. It is easy to see that with so many overlapping sets of rules there is a real possibility for confusion.
